Terms of Use

1. Introduction

By registering as a User (“End Customer” or “Supplier”) of our edTimber Digital Trading Platform (hereinafter referred to as “Platform”) you agree to the Platform’s Terms of Use.

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms of Use, provided by edTimber Global d.o.o. (hereinafter referred to as “edTimber”).

2. Changes to our Terms of Use

We reserve the right to amend these Terms, at any time. In the event of any planned updates to these Terms, Platform Users will be notified (via electronical means, email or platform notifications), at least 1 calendar month in advance. In case of disagreement with the proposed changes to the Terms, User’s may opt to close their accounts. All Platform users who continue to use the Platform, after the Terms of Use are updates are published, are agreeing to the proposed Policy changes.

3. The Platform

edTimber is an end-to-end commodity trading platform specialising in the wholesale of timber. It was developed to serve as a Marketplace for the purposes of wholesale of timber-based products including but not limited to sawn timber, timber logs and timber chippings. The platform serves as a digital framework for the timber trading industry with its primary goal to achieve paperless trading within the said industry. The Platform’s digital trading functionalities include but are not limited to:

  • Digital Price Negotiation
  • Digital Sales Agreements
  • Digital Sales Agreement Controls
  • Financial Instrument Requirement Controls
  • Cargo Release Requirement Controls
  • Shipping Services
  • Track and Trace Services

4. Platform Use

Your use of the Platform, as authorised by edTimber, is subject to these Terms. edTimber may permanently or temporarily terminate, suspend, or otherwise refuse to permit your access to the Platform without notice and liability, if, in their respective determination, you violate any of these Terms.

By providing edTimber your email address you give consent to edTimber to use the email address for marketing and legal related purposes, including but not limited to, trading platform related notices, notices required by law. We may also use your email address to send you other messages relevant to the use of the Platform.

5. Customer Vetting Process

Upon registration with the Platform you agree to undergo a thorough KYC (Know Your Customer) vetting process which forms part of our customer onboarding process. The vetting will be performed by edTimber or a third-party nominated by edTimber. Our customer vetting process may involve the following business checks: 

  • Full Company History
  • Continuity Of Your Business
  • Company Credit Checks
  • Company Solvency Checks
  • Reference Checks By Leading Companies Within The Industry In The Target Region
  • Any Other Company Checks As Required

edTimber reserves the right to refuse registration of new Customer Platform accounts for companies and entities that fail to meet the customer vetting criteria as defined in Clause 4 of edTimber’s Terms Of Use.

6. Service Restrictions

You agree that you will:

  1. 6.1 Abide by and comply with these Terms;
  2. 6.2 Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, and regulatory requirements;
  3. 6.3 Comply with all terms of use and similar rules concerning your use of the Platform;
  4. 6.4 Keep your company information up to date;
  5. 6.5 Use the Platform in a professional manner.

You agree that you will not:

  1. 6.6. Act in an unlawful or unprofessional manner in connection with the Platform, including being dishonest, abusive or discriminatory;
  2. 6.7. Communicate with the Platform and it’s Customers in a way that infringes upon any rights of any third party, including but not limited to any intellectual property rights, privacy rights, and rights of publicity;
  3. 6.8. Use Communication That:
    1. 6.8.1. Is harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), threatening, airing personal grievances or disputes, or otherwise inappropriate or objectionable;
    2. 6.8.2. May create a risk of any other loss or damage to any person or property;
    3. 6.8.3. May constitute or contribute to a crime;
    4. 6.8.4. Contains any information or content that is illegal;
    5. 6.8.5. Contains any information or content that you do not have a right to make available under any law;
  4. 6.9. Disclose information that you do not have the consent to disclose;
  5. 6.10. Copy, use, disclose or distribute any information obtained from the Platform, whether directly or through third parties, without the consent of edTimber, except for the sharing of information required to fulfil requirements of Sales Agreements with edTimber and its Platform;
  6. 6.11. Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets, or other proprietary rights.
  7. 6.12. Violate the intellectual property or other rights of edTimber;
  8. 6.13. Upload documents, data, files that contain viruses, or any other harmful software;
  9. 6.13. Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Platform or any related technology;
  10. 6.14. Attempt to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Platform;
  11. 6.15. Take any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure;
  12. 6.17. Upload invalid data through the Platform;
  13. 6.18. Create a false business identity, impersonate another business or otherwise misrepresenting your business or your affiliation with a business or entity;
  14. 6.19. Create a Company profile for anyone other than your Company;
  15. 6.20. Use or attempt to use another Customer’s account;
  16. 6.21. Interfere with the proper working of the Platform;
  17. 6.22. Use the Platform to generate spam, advertising, junk mail, chain letters or similar content or message;
  18. 6.23. Bypass the measures we may use to prevent or restrict access to the Platform.
  19. 6.24. Override any security features of the Platform;
  20. 6.25. Interfere with the operation of, or place an unreasonable load on, the Platform (such as, spam, denial of service attack, or viruses);
  21. 6.26. Solicit contact information or other personal information from Platform Users you don’t know, without authorisation;
  22. 6.27. Sell, sponsor, or otherwise monetise the Platform without prior agreement with edTimber;
  23. 6.28. Remove any copyright, trademark or other proprietary rights notices contained in or on the Platform;
  24. 6.29. Overlaying or otherwise modifying the Platform or it’s appearance; or
  25. 6.30. Use the Platform for tasks that it is not intended for.

7. Confidentiality

By using our edTimber Digital Trading Platform (hereafter referred to as “Platform”), you agree to not inform or otherwise disclose any information to third parties that become known upon using the Platform and can be considered as commercial or other secrets of edTimber Global d.o.o. (hereafter referred to as “edTimber”), protected by law, without the written consent of edTimber, unless otherwise prescribed by the laws of Slovenia.

As User of the Platform you agree to ensure conditions restricting access to confidential information of third parties and unauthorised disclosure of confidential information are maintained, including by installing technical means of protection against unauthorised access to information. Additionally, you need to ensure to allow the use of confidential information only to those employees of the Parties who need access to such information because of the functions they perform.

The disclosure of confidential information shall not be considered as such if the information is disclosed to the court or other authorised officials under a valid order by a court or written rule (direction) of any other governmental body.

In the event of successful completion of any Sales Agreements with edTimber, any confidential information obtained via the use of the Platform, at the request of edTimber, is obliged to either destroy this information or transfer it to edTimber.

edTimber reserves the right to seek compensation for any loss or damages that would result from any breach of confidentiality.

edTimber is headquartered in Koper, Slovenia. These Terms of Use shall be governed by and interpreted under the country laws of Slovenia (without regard to its conflicts of laws principles). If any provision of these Terms of Use is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. As User of the Platform, you expressly agree that exclusive jurisdiction for any dispute with edTimber, or in any way relating to these Terms of Use, resides in the courts of the country of Slovenia and you further agree and expressly submit to the personal and exclusive jurisdiction of the courts of country of Slovenia in connection with any such dispute including any claim involving sold goods or edTimber or its affiliates, subsidiaries, employees, contractors, officers, and directors.

8. Limitation of Liability

As User of the Platform you acknowledge that edTimber. shall not be liable for any direct, indirect, incidental, consequential damages, including but not limited to, damages for loss of profits, or other intangible losses (even if edTimber has been advised of the possibility of such damages), or personal injuries or death resulting from use or sale of the edTimber products.

9. No Liability for Outside Vendor

edTimber shall not be liable for any work performed by any third-party vendor referred by edTimber and hereby waives any right to assert any claim against edTimber for work performed by any other third party or vendor.

10. Use of Materials

All materials and products published on the edTimber website, packaging and promotional materials (including but not limited to articles, photographs, images, illustrations, audio clips and video clips) are protected by copyrights which are owned and controlled by edTimber or the party credited as the provider of the material. The entire contents of these documents are also copyrighted as a collective work under the EU copyright laws, and the selection, coordination, arrangement and enhancement of such content are protected by copyright. No material from this website or any website owned, operated, licensed, or controlled by edTimber, product packaging, or other promotional documentation may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way. You acknowledge that you do not acquire any ownership rights by downloading, printing or reproducing copyrighted material. The use of any such material on any other website or networked computer environment is prohibited. All trademarks, service marks, and trade names are proprietary to the edTimber or the other designated owner of a posted mark.
